DUAL ISSUE – MEDSERV p.l.c.
We are pleased to inform you that Medserv Plc has announced the issuance of a dual lsiting which shall be taking place as follows:
1. Two for Nine Rights Issue of 10,000,000 Ordinary Shares at €1.50 per share;
2. €30,000,000 Unsecured Bonds 2026 in any one or a combination of:
– 5.75% USD Unsecured Bonds 2026 issued at par
– 4.5% EUR Unsecured Bonds 2026 issued at par
Bondholders are required to maintain a minimum holding of €50,000 or $55,000 and accordingly, each transfer of Euro bonds or USD Bonds which would result in a Bondholder holding less than such minimum amounts is not permitted unless as a result of the said transfer, the bondholder shall have disposed of all of his holding in the Euro Bonds or USD Bonds.
The Medserv group is involved in the upstream sector of the oil and gas industry. Medserv has developed four principle product service lines in order to better meet client requirements, namely, integrated offshore logistics, engineering support services, mixing and storage of drilling fluids and environmental services including solar power generation.
Application Procedure
Existing shareholders who have received an application form from the issuer need to bring this form when meeting our advisors.
NB: Although we are accepting applications for the intermediaries offer, the Issuer has imposed minimum amounts to be reached by intermediaries. Consequently, your application will only be processed by Jesmond Mizzi Financial Advisors if the required minimum amounts have been reached to be able to participate in this offer. If on the other hand, the offer is opened to the public we will process your application accordingly.
