GlobalCapital plc – Resignation/Appointment of Director

GlobalCapital p.l.c announced that Mr. Nicholas Ashford-­Hodges has resigned from the post of deputy chairman and director of the Company, with immediate effect. Mr Ashford‐Hodges will also be stepping down from the post of chairman and director of the Company’s subsidiaries, with immediate effect.

 In terms of Article 80 (1) (b) of the Articles of Association of the Company, the Board of Directors unanimously resolved, subject to any regulatory clearance, to appoint Mr. Moussa Ibrahim Rawat of Appt B2, Mount Ory Riverside App, Le Ravin, Moka, Mauritius, as non executive director of the Company with immediate effect.

Mr. Rawat holds a B.(Hons) Civil Engineering degree from Edinburgh University (UK). He is the chairman of Bramer Corporation Limited, a financial services group that operates in three main lines of business, namely insurance, banking and asset management. Mr. Rawat is a director of Bramer Banking Corporation Ltd which is listed on the Stock Exchange of Mauritius and British American Investments Company (Kenya) Limited which is listed on the

Nairobi Securities Exchange.

There is no matter concerning Mr Rawat requiring disclosure under listing rules 5.20.5 to 5.20.9.
